1. Introduction and Acceptance of Terms

Welcome to ToolHub ("the Service," "the Platform," "we," "us," or "our"). ToolHub is a comprehensive multi-tenant Enterprise Resource Planning (ERP) system designed for wholesale and distribution businesses. These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," "your," "Customer," or "Subscriber") and ToolHub regarding your access to and use of our platform.

2. Definitions

• "Account" - A unique user profile created to access the Service.
• "Authorized User" - Any individual authorized by a Tenant Company to use the Service.
• "Company Data" - All data uploaded, entered, or processed within the Service by a Tenant Company.
• "Multi-Tenant Architecture" - System design where multiple companies share the application while maintaining complete data separation.
• "Service Modules" - Functional components including: Purchasing, Accounting, Invoicing, Inventory, Pricer, HR/Vacation, Bulk Emailer, CRM, and more.
• "Tenant Company" - A company or organization that subscribes to the Platform.

3. Description of Service

3.1 Platform Overview

ToolHub provides comprehensive business management tools through a secure, web-based multi-tenant platform including purchasing, inventory, accounting, invoicing, CRM, market intelligence, and human resources.

3.2 Core Functionalities

Financial Management

• Double-entry accounting with audit trail
• Chart of accounts with hierarchical structure
• Financial reporting: Trial Balance, Balance Sheet, Income Statement
• Bank reconciliation

Invoicing and Inventory

• Professional invoice generation with multiple PDF templates
• Real-time stock tracking with multi-warehouse support
• Inventory valuation (FIFO, weighted average)

Purchasing and Market Intelligence

• Strategic purchasing analysis and order generation
• Global supplier price comparison
• Currency conversion and exchange rate management

4. Multi-Tenant Architecture and Data Isolation

Your data is isolated through:

• Automatic query scoping through middleware
• Tenant-aware URL routing
• Company-specific configurations and settings
• Independent SMTP and email templates per tenant

Data Ownership: Each Tenant Company retains full ownership of its Company Data.

5. Account Registration and Security

You are responsible for:

• Maintaining confidentiality of login credentials
• All activities under your Account
• Notifying us of unauthorized access
• Ensuring Authorized Users comply with these Terms

6. Acceptable Use Policy

You agree NOT to:

1. Use the Service for illegal purposes
2. Attempt unauthorized access to other accounts or systems
3. Access data belonging to other Tenant Companies
4. Upload viruses or malicious code
5. Reverse engineer the Service
6. Send spam through the bulk email functionality
7. Circumvent security measures

7. User Responsibilities

You are responsible for accuracy of all Company Data including financial records, invoices, customer/supplier data, inventory, and HR data.

8. Intellectual Property Rights

The Service is owned by ToolHub and protected by intellectual property laws. Your subscription grants a limited, non-exclusive, non-transferable license. You retain all rights to your Company Data.

9. Subscription and Payment Terms

Access requires an active subscription. All fees are non-refundable except as required by law. Subscriptions auto-renew unless cancelled before renewal date.

11. Limitation of Liability

ToolHub shall not be liable for indirect, incidental, special, consequential damages, loss of profits, data, or business opportunities. Total liability shall not exceed amounts paid in the preceding 12 months.

12. Indemnification

You agree to indemnify ToolHub against claims arising from your use of the Service, violation of Terms, or infringement of third-party rights.

13. Term and Termination

Upon termination, you have 30 days to export your data. ToolHub may terminate access for breach of Terms, overdue payment, or security risks.

14. Modifications

ToolHub may modify these Terms with notice. Continued use after modifications constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the Republic of Serbia. Disputes shall be resolved through good-faith negotiations or binding arbitration.

16. General Provisions

These Terms constitute the entire agreement. If any provision is unenforceable, remaining provisions continue in effect. Neither party is liable for force majeure events.
